1. what is a profit participation right?
For you, i.e. the investor, the profit participation right represents an investment opportunity.
For us, i.e. the issuing company (hereinafter also referred to as KD AG), the profit participation right represents a financing alternative.
2. How are the KD participation rights structured?
These are registered profit participation rights with a fixed annual interest rate that is independent of KD AG’s earnings. With KD profit participation rights, you provide us with capital. In return, you receive an annual interest rate of 3.5%. You can terminate your KD profit participation rights at any time by giving three months’ notice to September 30 of each year. After termination, we will repay your paid-in capital within 30 working days of the termination becoming effective.
3. What will KD AG use the profit participation capital for?
KD AG requires a winter bridging loan every year because, as a seasonal business, it generates most of its revenue in the summer months. KD AG would like to finance EUR 1.5 million of this winter bridging loan by issuing KD participation rights. The KD profit participation rights are therefore intended to serve the bank-independent financing of working capital.
4. What are the arguments in favor of acquiring KD participation rights?
You know KD AG as a customer, shareholder, business partner or employee and have confidence in the entire KD Group team. With your help, we can provide bank-independent financing for working capital. In return, you receive a fixed annual interest rate of 3.5%, independent of KD AG’s results. You can terminate your KD profit participation rights at any time with a notice period of 3 months to September 30 of each year.
5. Who can subscribe to the KD participation rights
For legal reasons, KD participation rights can only be subscribed to by persons of legal age who are German citizens and who are resident in Germany. In addition, companies domiciled in Germany can subscribe to KD participation rights.
6. What rights do I have by purchasing KD profit participation rights?
You are entitled to the interest payments and are entitled to repayment of the KD profit participation rights at nominal value as well as an annual right of termination. The KD participation rights do not grant you any participation rights, in particular the right to participate in the Annual General Meeting of KD AG.
7. What is the issue volume?
The issue volume amounts to 3,000 registered participation rights, the total nominal value is 1,500,000.00.
8. What happens when the issue volume is reached?
Once the issue volume has been reached, no further subscriptions are possible. If several subscriptions overlap at this point, a lottery procedure will be used to decide who receives the KD participation rights.
9. What is the nominal amount of a KD participation right and what is the minimum investment amount?
The KD profit participation rights have a nominal amount of €500.00 each, the minimum investment amount is €500.00. Further increases are possible in increments of €500.00.
10. What is the maximum investment amount?
The maximum investment amount per investor is always 30,000.00. Subscriptions exceeding this amount will only be accepted by KD AG after an individual case-by-case assessment.
11. Can I subscribe to the KD participation rights multiple times?
Yes, as long as the issue volume has not yet been reached, you can subscribe again at any time. The maximum investment limit per investor is €30,000.00. Subscriptions exceeding this amount will only be accepted by KD AG after an individual case-by-case assessment.
12. How long can I keep the KD usage rights?
There is no term limit on KD participation rights. You can hold them indefinitely. Termination is possible for both you and KD AG on September 30 of each calendar year with a notice period of 3 months. Notice of termination must therefore be received by KD AG no later than June 30 of the year in which you wish to terminate.
13. Are the KD participation rights traded on a stock exchange?
No, the KD participation rights are not traded on a stock exchange.
14. Is it safe to invest in KD participation rights?
Like any financial investment, KD participation rights involve risks. These are listed in detail in our sales prospectus, which you can view here.
15. what happens if a fiscal year does not go well
You are entitled to fixed interest on the profit participation capital, which is not dependent on the profit or loss of KD AG.
16. is there an obligation to make additional contributions?
There is no liability (obligation to make additional contributions) beyond the amount of your profit participation right.
17. What does subordination of KD participation rights mean for me?
If KD AG becomes insolvent, you as a holder of profit participation rights will only be paid after all non-subordinated creditors of KD AG have been satisfied.
18. How likely is it that KD AG will become insolvent?
We are positive about the future of KD AG and the KD Group. Of course, we cannot give you a 100% guarantee that KD AG will not become insolvent, but in our view there is currently no such risk. The information provided to our suppliers by the credit agencies certifies that KD AG has a good credit rating. The probability that a receivable of KD AG will default (probability of default) is therefore 0.45%.
19. How can I find out about the development of KD AG?
We are a listed company and are therefore obliged to submit audited balance sheets on time. We also publish quarterly reports and ad-hoc disclosures where appropriate. We are therefore absolutely transparent. You can find all information on our website www.k-d.com in the Investor Relations section.

20. How can I draw the KD permissions?
KD participation rights can only be purchased directly online via the website www.k-d.com/de/genussrechte
The following information must be provided:
- Enter your personal data (name, date of birth, place of birth, address) or company data
- Deposit your e-mail address
- Enter your mobile phone number
- Enter the bank details (at a domestic credit institution) where irregular cash receipts may take place
- Enter the desired subscription amount (denomination of 500.00)
21. why do I need an email address and a cell phone for the drawing, what does SMS-TAN mean?
The subscription of KD participation rights takes place exclusively via the Internet. Correspondence with you will therefore also take place via e-mail. For example, after subscribing you will receive a confirmation e-mail to the e-mail address you have provided. Your legitimation when subscribing or changing your data is carried out via the secure SMS-TAN procedure, which is only possible using an SMS-enabled cell phone. SMS-TAN is the abbreviation for a transaction number transmitted via Short Message Service.
22. Do I receive a participation certificate or other document about my participation?
A participation certificate or other certificate will not be issued. You will receive a statement of account via your customer account at www.k-d.com/de/genussrechte on the day of the interest distribution, which will contain all the data relating to your KD participation rights.
23. Why is there no deed?
We want to run the entire project as lean as possible. There are therefore no commissions, no unnecessary administration costs and no certificates.
24. Are fees charged or do additional costs apply?
No, KD profit participation rights are subscribed without a premium, so you do not incur any costs. There are also no brokerage commissions. It is also not necessary to hold a securities account; KD profit participation rights are kept in the electronic profit participation rights register of KD AG. This does not incur any costs for you. KD profit participation rights are issued at the nominal amount.

25. How interest is paid on my KD participation rights
KD AG pays you an annual profit participation right interest of 3.5% based on the nominal value of the profit participation right capital. The interest begins on the day after your payment is credited to the account of KD AG. The day after receipt of payment is therefore the first interest day. Interest is calculated after the end of each interest period (01.10. – 30.09.) according to the 30/360 interest method.
26. How is the interest rate of 3.5% calculated?
An interest rate always depends on the risk of the investment: The higher the risk, the higher the interest rate. The annual interest rate of 3.5% set for the KD participation rights is in line with the market for relatively low-risk investments given the current low interest rate situation.
27. Do I have to do anything to get the interest?
We will transfer the interest to the account you have specified by the 5th working day after the cut-off date (September 30th of each year). You do not have to do anything else.
28. what happens if the general interest rate level should rise?
You have the option to demand repayment of your KD participation rights at any time with the agreed notice period of three months to September 30 of each year.
29. what happens if the general interest rate level should fall even further?
Your interest rate of 3.5% for the KD participation rights remains unchanged.
30. Do I have to pay tax on the interest payment of this investment?
When the interest on profit participation rights is paid out, KD AG is obliged to pay the applicable withholding tax in the form of capital gains tax of currently 25% plus the solidarity surcharge of 5.5% of the capital gains tax and, if applicable, church tax by way of advance deduction to the tax office of KD AG. The amount to be paid out to you will therefore be reduced by this tax deduction. You will receive a certificate confirming payment of this tax.
31. Can an exemption order or a non-assessment certificate be submitted?
We cannot consider exemption orders or non-assessment certificates as we are not a credit institution. A refund of the tax portion already paid is possible as part of your personal income tax return. In addition, if you have a non-assessment certificate, you can submit a refund application to the Federal Central Tax Office.

33. How can I change my data?

35. Can I sell or give away the KD profit participation rights or transfer them to another person?
A transfer of the KD participation rights to third parties by legal transaction requires the consent of the issuer, which can only be refused for good cause.
36. What happens in case of death?
In the event of death, the KD participation rights are transferred to the heirs.
37. Do I have a right of revocation?
You can revoke your contractual declaration in writing (e.g. letter, fax, e-mail) within 14 days without giving reasons. 38. How can I cancel?
Cancellation is possible on September 30 of each calendar year with a notice period of three months. Notice of termination must be given in writing or in text form (e.g. letter, fax, e-mail). Please send your notice of termination to:

39. When will I receive my profit participation rights capital back?
If you or KD AG have given notice of termination, you will receive your profit participation capital at par value within 30 calendar days of the effective date of termination to the account you have specified.
40. At what value will I receive my profit participation capital back?
The repayment is made at par value, i.e. 100% of your paid-in capital, plus accrued interest.
